Private Equity Funds Associate

Experience Requirement: 4+ years experience advising private equity firms on fund formation, administration, portfolio investment and compliance issues. Ideal candidate would have several years of significant responsibility advising clients in the private equity fund formation at a global firm.
Responsibilities likely to include but are not limited to:

- Advising generally on fund formation issues, including drafting offering documents, subscription documents, side letters and partnership agreements, negotiating with institutional investors, understanding market terms and supervising junior attorneys
- Advising fund sponsors on operation and compliance issues
- Advising on portfolio investment-related matters, including special purpose vehicles and joint venture arrangements
- Advising on fund restructuring and general partner/manager compensation issues
- Negotiating with service providers, including placement agents

Key Characteristics:

- Substantial experience advising on formations of private equity funds (and managed accounts), including buyout, venture capital and debt, real estate, infrastructure, energy and other sector funds, as well as funds of funds, and negotiating with large, sophisticated institutional investors
- Proven ability to manage complex projects, including the coordination of attorneys in other disciplines and jurisdictions as well as junior attorneys and legal staff
- Proven ability to mentor and manage junior attorneys and legal assistants

Market Compensation (graduating class):
’21- $215,000 + annual bonus
’20- $225,000 + annual bonus
’19- $250,000 + annual bonus
’18- $295,000 + annual bonus
’17- $345,000 + annual bonus
’16- $370,000 + annual bonus
’15- $400,000 + annual bonus
’14- $415,000 + annual bonus
